SK Communications Co., the provider of popular social medial platforms Nate and Cyworld, will be delisted from the secondary KOSDAQ market to become a wholly owned subsidiary of its parent SK Telecom Co.

The two companies said in a regulatory filing that they held a board meeting separately on Thursday and finalized their all-stock deal to place the company under full ownership of the leading wireless carrier. The deal requires SK Telecom, which currently owns a 64.54 percent in SK Communications, to buy all remaining shares from minority shareholders of SK Communications.

The stock swap ratio between shares of SK Telecom and SK Communications is set at 1:0.0125970. The shares of minority shareholders of SK Communications are tradable at 2,814 won apiece.

Shareholders who oppose the transaction are eligible to sell back their shares for 2,956 won apiece between Jan. 4 and 24, 2017. The delisting is subject to approval by the shareholders of the two companies due in January.

As of 3:00 p.m., shares of SK Communications surged 8.9 percent de at 2,940 won and SK Telecom stayed flat at 226,500 won.
